All verbal and written quotations for Preston-Eastin products and services are subject to the following terms and conditions. Any exception to these terms and conditions must be specifically documented as an exception and confirmed in writing by an authorized employee of Preston-Eastin, Inc.

Limits of Validity

Preston-Eastin, Inc. quotations are valid for a period of 60 days from the date of the quotation. Written revisions to the quote may extend the period of validity, subject to the conditions of the quote.

Reference to Prior Work

The price quoted for a specific product or service is valid for that specific instance only, and may not be honored for future orders for similar or identical equipment. Preston-Eastin will re-quote similar or identical equipment when requested.

Transfer to Third Parties

Each Preston-Eastin, Inc. quote is valid only for the party to whom it is addressed. Third parties that become involved later in the process must request and receive a quote prepared specifically for them before ordering equipment.

Intellectual Property

All equipment designs and specifications provided by Preston-Eastin, Inc., are the property of Preston-Eastin, Inc., and may not be communicated by the customer, subsequent users, or any intermediaries for purposes of obtaining similar products or services from a manufacturer other than Preston-Eastin, Inc.

Clarifications, Omissions and Oversights

It is Preston-Eastin's intention to provide significant, relevant information regarding product dimensions, specifications and pricing at the time of the quote. This information is for reference only, and must be confirmed after a purchase order for the equipment is placed with Preston-Eastin. For products listed in the Standard Products brochure this confirmation is usually verbal. For custom and robotic products revised information may be provided and must be acknowledged by the customer before fabrication begins.
Quotation pricing is provided based on the best available interpretation of known customer requirements at the time of the quote. If, for any reason, the anticipated product is determined to be inadequate for the customer's application, Preston-Eastin will notify the customer of the concern and proceed to develop a resolution. Such resolution may involve revision of the quoted price, delivery, and/or performance.

Terms of Payment

For purchase orders less than $50,000 net, terms are net 30 days. Customers that purchase a product for the purpose of resale receive a discount if, and only if, the invoice is paid within 30 calendar days. After 30 calendar days discounts do not apply, and interest on the unpaid balance accrues at the rate of 1.5% per month.
For purchase orders of $50,000 net, or greater, terms are 25% with the purchase order, 25% on design approval, 25% prior to shipment, and 25% net 30 days. Customers that purchase a product for the purpose of resale receive a discount if, and only if, the invoice is paid within 30 calendar days. After 30 calendar days discounts do not apply, and interest on the unpaid balance accrues at the rate of 1.5% per month.
Sales to companies outside of the United States of America and/or shipments outside of the continental United States of America must be paid in full prior to shipment from Preston-Eastin, Inc.
Exceptions to these terms must be documented and signed by an authorized representative of Preston-Eastin, Inc. prior to acceptance of the purchase order.

Shipment

All products are shipped F.O.B. 5341 East Independence, Tulsa, Oklahoma 74115, unless otherwise negotiated prior to purchase.
Standard procedure is to ship freight collect. Freight charges may be prepaid and added to the invoice at the customer's request. Responsibility for all shipments resides with the customer from the moment such equipment leaves Preston-Eastin, Inc. premises, regardless of payment process.
Pre-paid freight costs are passed directly to the customer without markup. When actual charges are greater than the carrier's estimate the customer will pay the actual invoiced amount.
Preston-Eastin endeavors to provide the best available information regarding shipping performance and delivery. Such information is not a guarantee of price or delivery, however, and Preston-Eastin is in no way responsible for a freight carrier's failure to perform, or the condition of the freight once it leaves Preston-Eastin, Inc. facilities.

Packaging

Many Preston-Eastin products are bulky and heavy, and do not lend themselves well to the increasingly poor performance of commercial freight carriers. Preston-Eastin will recommend a selection of private carriers with competitive rates and proven performance for direct delivery of Preston-Eastin products. All shipments on these carriers are tarped prior to departure.
Smaller standard products are shipped commercially on skids covered by heavy-duty cardboard boxes.
Larger products must be crated if shipped by commercial carrier. The additional charge for such crating is approximately $750.00, and is billed directly to the customer as part of the shipping cost. The customer will communicate prior to shipment and within 10 business days of confirmation of shipping arrangements exceptions to the crating charge noted above.

Returns

All returned shipments must be pre-approved by an authorized Preston-Eastin representative. Upon approval the Preston-Eastin, Inc. representative will provide a Return Goods Authorization number that must accompany the returned shipment.
Material returned for credit is subject to a 20% restocking charge unless covered by warranty.

Warranty

Preston-Eastin, Inc. warrants its products against defects in materials and workmanship, under normal use and service, for a period of one (1) year after date of shipment. Preston-Eastin, Inc.'s obligation under this warranty is limited to replacement or repair, F.O.B. Preston-Eastin, Inc.'s factory, of any part of its own products which, within one year after date of shipment, is proven to be defective, provided the purchaser has given Preston-Eastin, Inc. immediate written notice upon the discovery of such defect. Preston-Eastin, Inc. shall have sole authority to determine type and means of repair or replacement in the event of such a claim. Preston-Eastin, Inc. shall have the option of requiring the return of the defective material, transportation prepaid, to establish the claim. Preston-Eastin, Inc. shall in no event be held liable for repairs or alterations unless made with its written consent or approval. Preston-Eastin, Inc. shall not be held responsible for repairs made by others. There are no warranties, express or implied, except the above and such other express warranties, if any, as may be definitely set forth herein.
Commercial components whose manufacturers' warranties exceed the standard Preston-Eastin warranty will be warranted by Preston-Eastin to the extent that Preston-Eastin is able to recover damages from the manufacturer.
Preston-Eastin, Inc. shall not be liable for any special, indirect or consequential damages, or for any damages arising from the use of products specified herein.
Buyer agrees that this sale is completely made in the State of Oklahoma in that the laws of the State of Oklahoma shall apply concerning any controversy or claim regarding the equipment. Buyer agrees to indemnify and hold harmless seller from all claims, damages, liabilities, attorney's fees, and expenses arising from the ownership or use of the equipment, whether as a result of the manufacturer's or subsequent owner's or owners' defective manufacture, design, repair or failure to instruct or warn.
